MCA vide notification dated 18th August, 2022 amended Companies (Incorporation) Rules, 2014, after Rule 25A, Rule 25B shall be inserted i.e. Physical Verification of the Registered office of the Company. Explanation for the same as follows:
A. POWER OF REGISTRAR OF COMPANIES (ROC) UNDER RULE 25B OF COMPANIES (INCORPORATION) RULES, 2014:
1. Registrar based upon the documents available on MCA 21, shall visit the Registered office of the Company for physical verification along with two independent local witness also with local police if require.
2. Registrar can ask supporting documents filed for registered office as available on MCA 21 for authentication purpose.
3. Registrar can take Photograph of the registered office of the Company while conducting physical verification of the same.
4. Registrar shall make the report on the basis of details available in registered office while conducting physical verification of the same.
B. COMPANY SHALL ADHERE FOLLOWING COMPLIANCE FOR ABOVE RULE:
1. Company shall keep outside of the office below details in one English and Local Language:
a. Name of the Company
b. CIN of the Company
c. Registered Address of the Company
2. Company shall keep following documents ready:
a. Latest copy of utility bill of Current registered office
b. Copy of Agreement: Lease/Rental/Ownership agreement
c. No objection letter.
C. WHAT IF REGISTRAR NOT SATISFIED AFTER PHYSICAL VERIFICATION OF REGISTERED OFFICE:
Registrar shall send notice to Company and all directors for strike off of Name of company under section 248 of the Companies Act, 2013 on the basis of documents and physical verification if he is not satisfied that company is not capable to receiving and acknowledging all communications and notices, upon receiving notice Company shall give representation within 30 days to Registrar along with supporting documents after that only Registrar shall take necessary action.
