Mega Mall Management Services Pvt. Ltd Vs Ajay Kumar Agarwal (NCLAT Delhi)
Summary: The National Company Law Appellate Tribunal, Principal Bench, New Delhi, dismissed Company Appeal (AT) (Ins.) No. 1236 of 2025 filed by Mega Mall Management Services Pvt. Ltd. against the order dated 18.06.2025 of the National Company Law Tribunal, Kolkata Bench-II. The NCLT had allowed I.A. (IBC) No. 910 of 2024 filed by Ajay Kumar Agarwal, Resolution Professional of Avani Projects & Infrastructures Ltd., and directed the Appellant to furnish complete details of rent and parking charges collected from Avani Riverside Mall for Financial Years 2021-22 and 2022-23 and thereafter.
Avani Projects and Infrastructures Ltd. was admitted into Corporate Insolvency Resolution Process on 13.03.2019 pursuant to a petition under Section 7 of the Insolvency and Bankruptcy Code, 2016. The Corporate Debtor had developed Avani Riverside Mall, while Mega Mall Management Services Pvt. Ltd. was involved in its management and maintenance.
During the CIRP, the Resolution Professional had earlier filed an application under Section 19(2) of the Code alleging non-cooperation by the Appellant and other entities. The Adjudicating Authority, by order dated 13.06.2022, directed the respondents to cooperate with the Resolution Professional. The Appellant thereafter furnished copies of agreements executed with the Corporate Debtor, including the original agreement dated 01.06.2011 and the subsequent agreement dated 31.01.2018.
