Summary: The National Company Law Tribunal (NCLT), Mumbai Bench-I, sanctioned the Scheme of Merger by Absorption of Hinduja Leyland Finance Limited (HLFL), the Transferor Company, into NDL Ventures Limited (NDL), the Transferee Company, under Sections 230 to 232 of the Companies Act, 2013. The Scheme, approved by the Boards of both companies on 25 November 2025, specified 1 April 2026 as the Appointed Date. Its principal objectives were to enable NDL Ventures to enter and expand in the Non-Banking Financial Company (NBFC) sector, strengthen the merged entity’s capital-raising capabilities, improve operational efficiency, eliminate duplication of administrative and regulatory functions, and enhance shareholder value. Under the approved share exchange arrangement, shareholders of HLFL would receive 25 fully paid-up equity shares of NDL Ventures, each having a face value of ₹10, for every 10 fully paid-up equity shares of ₹10 each held in HLFL.

The Tribunal examined the statutory approval process and the voting results of the shareholders and unsecured creditors. At meetings held on 30 July 2026, the Scheme received approval from 100% of the shareholders of HLFL present and voting, both in number and value. Shareholders of NDL Ventures approved the Scheme by 99.99% in value and 97.87% in number. The unsecured creditors of HLFL approved the Scheme by 99.99% of participating creditors. In the case of NDL Ventures, its three unsecured creditors, having an aggregate outstanding amount of ₹8,77,159 as on 31 March 2026, had been paid and had issued no-dues certificates, resulting in dispensation of their meeting. The companies also established compliance with the Tribunal’s earlier directions dated 17 June 2026, including service of regulatory notices under Section 230(5).

The Regional Director, Western Region, Mumbai, filed observations requiring compliance with statutory provisions, protection of creditors and employees, appropriate accounting treatment, sectoral regulatory requirements, and applicable income-tax and GST laws. The petitioner companies furnished corresponding undertakings, including compliance with MCA General Circular No. 09/2019 dated 21 August 2019, and requirements concerning significant beneficial ownership under Section 90 of the Companies Act, 2013. The Regional Director subsequently conveyed that there was no objection to approval of the Scheme.

The Official Liquidator raised concerns regarding HLFL’s overdue loan portfolio, substantial near-term repayment obligations and the valuation of loan assets classified as Fair Value through Other Comprehensive Income (FVTOCI). HLFL responded that its Expected Credit Loss (ECL) provisions as at 31 March 2026 were adequate, that the loan assets net of such provisions represented their realisable value, and that the company was positioned to discharge its repayment obligations. It further stated that its valuation methodology complied with Ind AS 113 and that an independent valuer had been engaged. The Official Liquidator reported that, subject to the recorded observations, the affairs of HLFL had not been conducted in a manner prejudicial to creditors or public interest. Separately, the Income Tax Department raised observations to which the companies responded that the Scheme was proposed for bona fide commercial reasons and that its sanction would not prejudice the Department’s statutory rights.

After considering the submissions, regulatory reports and undertakings, the Tribunal found the Scheme fair and reasonable, compliant with the applicable statutory requirements, and not contrary to public policy. Accordingly, it allowed the company petition and made the Scheme binding on the petitioner companies, shareholders, creditors, employees and other stakeholders. The Tribunal ordered that HLFL stand dissolved without winding up and that its liabilities transfer to NDL Ventures, while preserving the continuing liability of officers in default for earlier offences under the statutory merger framework. Importantly, the Tribunal expressly preserved the Income Tax Department’s right to examine tax liabilities arising from the Scheme and to take lawful action if tax avoidance was subsequently established. The companies were directed to file the order and Scheme with the Registrar of Companies in Form INC-28 within 30 days of receiving the order, protect continuity of employment on terms no less favourable, and lodge the authenticated documents for stamp-duty adjudication within 60 days.
