Ministry of Corporate Affairs (MCA), exercising powers under section 396(1) of the Companies Act, 2013, has amended its earlier notification dated 23 October 2025 concerning the establishment and jurisdiction of Regional Directors across India.

The original notification reorganised the Regional Directorates by creating ten region-wise Directorates with clearly defined territorial jurisdictions and headquarters, superseding the earlier 2015 notification. These Regional Directors were authorised to discharge functions under the Companies Act, 2013 and to continue exercising powers under the Companies Act, 1956 for provisions still in force. The notification originally specified that the new regional structure would come into effect from 1 January 2026.

Through the amending notification dated 30 December 2025, the Central Government has deferred the effective date of this reorganisation. The date of commencement has now been substituted from “1st January, 2026” to “16th February, 2026”. No other changes have been made to the structure, jurisdiction, or powers of the Regional Directors.

As a result, the existing regional arrangements will continue until 15 February 2026, and the new Regional Director framework will become operational from 16 February 2026.

S.O. 6115(E).In exercise of the powers conferred by sub-section (1) of 396 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following amendment in the notification of the Government of India, Ministry of Corporate Affairs, published in the Gazette of India, Extraordinary, Part II, Section 3, Sub-section (ii), dated the 24th October, 2025 vide number S.O. 4852 (E), dated the 23rd October, 2025 namely:-

In the said notification, in paragraph 2, for the figures, letters and word “1st January, 2026”, the words, figures and letters “the 16th February, 2026” shall be substituted
