SEBI Research Analyst Registration: Eligibility, NISM Certification, Documents, Fees & Compliance

Summary: SEBI Research Analyst registration is necessary for individuals and entities undertaking regulated research services, including securities research reports, stock recommendations, trading calls, model portfolios and subscription-based research, unless an applicable exemption is available. Registration is governed by the SEBI (Research Analysts) Regulations, 2014, together with subsequent amendments and regulatory directions. Applicants must assess the nature of their proposed services, educational qualifications, certification, business structure, infrastructure and prescribed financial deposit before commencing regulated activities. The November 2025 amendments expanded educational eligibility by recognising a graduate degree or equivalent qualification from an eligible institution, or a CFA Charter, together with relevant certification. The regulations also recognise the specified NISM postgraduate programme as an alternative educational route. NISM-Series-XV remains the principal certification for research functions, while specified sales and other non-core personnel may qualify under the NISM-Series-XXV-A framework. Registration applications are submitted through the Research Analyst Administration and Supervisory Body (RAASB), using Form A and supporting documents. The prescribed deposit depends on the maximum number of clients during the preceding financial year, with slabs ranging from ₹1 lakh to ₹10 lakh. Applicants must also satisfy fit and proper criteria, establish adequate infrastructure, pay applicable fees and complete SEBI approval formalities.

Introduction

India’s securities market offers growing opportunities for professionals who can study companies, analyse financial information and explain investment opportunities. Many individuals now want to publish stock research, offer subscription-based recommendations or establish a research firm. Before starting these activities, understanding the requirements for SEBI Research Analyst registration is essential.

Registration involves checking educational eligibility, obtaining the relevant certification, preparing supporting documents and completing the application process. Applicants must also consider deposits, registration fees and continuing compliance responsibilities.

Understanding SEBI Research Analyst Registration

Meaning of Research Analyst Registration

SEBI Research Analyst registration is the regulatory registration required for carrying on research services covered by the SEBI (Research Analysts) Regulations, 2014. These services include preparing research reports, issuing buy, sell or hold recommendations, providing price targets or stop-loss targets, offering trading calls, recommending model portfolios and expressing opinions concerning public offers.

The regulations cover research services provided for consideration. Consideration can include direct or indirect economic benefits, including non-cash benefits. Therefore, applicants must examine the actual nature of their services and commercial arrangements when deciding whether registration is required.

Identifying the Proposed Research Services

Before preparing an application, an applicant should clearly describe the services they intend to offer. For example, a business may publish company research reports, distribute stock recommendations or provide research through paid subscriptions. A precise service description helps identify the relevant requirements and ensures that the application accurately explains the proposed business.

Applicants should also identify their intended clients, the securities they plan to cover and the channels through which research will be delivered. This preparation provides a clear foundation for the application.

Importance of Registration

Registration gives a research business a recognised regulatory identity and places it under applicable conduct and compliance requirements. However, establishing a reliable research practice also requires sound analysis, transparent communication and organised records.

Applicants should approach registration as part of building a professional business. Research quality, clear responsibilities and consistent operating procedures deserve attention alongside the application itself.

Who Needs Research Analyst Registration?

Independent Research Service Providers

A person intending to provide regulated research services must obtain registration unless a specific exemption applies. Professionals offering stock recommendations through subscriptions, newsletters or other commercial arrangements should assess the requirements before accepting clients.

The assessment should consider the recommendations actually provided and the benefits received from providing them. Describing a service as financial education does not, by itself, determine its regulatory treatment.

Research Analysts Employed by a Registered Entity

Individuals employed as research analysts within a registered research entity generally do not require separate SEBI registration. However, they must satisfy the applicable qualification and certification requirements.

A business should therefore distinguish between registration of the entity and eligibility of its employees. This distinction becomes particularly relevant when hiring analysts or expanding the research team.

Technical Analysts and Online Research Providers

Security-specific recommendations based on technical analysis are not automatically exempt from the Research Analyst regulations. The use of charts, indicators or price movements does not remove covered research services from regulatory oversight.

Similarly, delivering recommendations through a website, mobile application, email or social media group does not change the need to assess the underlying activity. The substance of the service remains the central consideration.

Educational Eligibility for Registration

Graduate Degree or Equivalent Qualification

The November 2025 amendment broadened the educational eligibility route. A recognised graduate degree or equivalent educational qualification, together with the relevant NISM or NISM-accredited certification, can satisfy the prescribed qualification route.

The graduate qualification is not restricted to finance-related subjects. Applicants should verify recognition of the awarding institution and retain documents that clearly establish completion of the qualification.

CFA Charter Route

The amended provisions also recognise a CFA Charter from the CFA Institute together with the relevant certification. Applicants relying on this route should distinguish a completed CFA Charter from passing individual examination levels.

The application should clearly identify the qualification being relied upon and include appropriate supporting records. Accurate presentation helps avoid unnecessary clarification during scrutiny.

Specified NISM Postgraduate Programme

An alternative educational route is the NISM Post Graduate Program in Securities Market (Research Analysis), or another NISM programme specified by SEBI.

Applicants should verify that their exact programme satisfies the relevant provision. Completing a general financial-market course or private training programme does not automatically establish eligibility under this route.

Reviewing Qualifications Before Applying

Applicants should compare their qualifications with the current requirements instead of relying on older registration guides. Some older descriptions may refer to educational or experience conditions that have since changed.

Preparing a qualification summary is useful. It should identify the qualification, awarding institution, completion date and supporting documents so that missing evidence can be addressed before filing.

Certification Requirements

NISM-Series-XV Certification

NISM-Series-XV: Research Analyst Certification Examination is the usual certification examination for research analyst functions. A revised examination became effective from 20 January 2026.

Applicants should prepare using the current syllabus and study material. Passing the examination provides certification, but it does not itself grant SEBI registration or complete the regulatory approval process.

Certification Treatment for the Specified NISM Programme

Applicants qualifying through the specified NISM postgraduate programme route receive different initial certification treatment. Under the applicable guidance, they are exempt from the initial entry-level certification but must obtain the relevant renewal certification within three years of receiving the registration certificate.

Applicants should identify their qualification route before deciding which examination requirements apply. This avoids unnecessary assumptions about certification exemptions.

Certification for Sales and Other Non-Core Staff

SEBI introduced NISM-Series-XXV-A for research-service personnel performing sales and other non-core functions who have client contact but are not directly involved in research. Other research-service personnel continue with the relevant Series XV requirement.

Staff covered by this relaxation who already hold Series XV certification move to Series XXV-A after their existing certification expires. Businesses should assess certification according to actual responsibilities rather than job titles alone.

Maintaining Certification Records

A research business should maintain a personnel register showing each person’s responsibilities, applicable certification and expiry date. This helps identify renewal requirements and ensures that relevant roles are assigned appropriately.

Certification monitoring should be included in the business’s compliance calendar. Allowing a certificate to expire can create avoidable operational and compliance difficulties.

Other Eligibility Conditions

Fit and Proper Status

SEBI considers whether the applicant and relevant personnel satisfy its fit and proper criteria. Applicants should review their regulatory history and provide complete, accurate disclosures wherever required.

Declarations should be checked carefully before signing. Incomplete information or inconsistent explanations can create difficulties during application scrutiny.

Adequate Infrastructure

Applicants must have the infrastructure necessary to discharge research analyst activities effectively. The proposed setup should support research preparation, document storage, client communication and protection of information.

A small practice can prepare a practical description of its working arrangements, software, storage systems and responsibilities. The infrastructure should match the nature and scale of the proposed services.

Suitable Business Structure

An applicant may operate through an individual structure, partnership firm, LLP or body corporate. A sole proprietor follows the eligibility conditions applicable to an individual.

The choice should reflect ownership arrangements, hiring plans, expected scale and governance needs. Finalising the structure early helps keep the application and supporting documents consistent.

Deposit Requirement

Permitted Deposit Arrangements

The deposit may be maintained with a scheduled bank or through units of liquid or overnight mutual funds. It must carry a lien in favour of the Research Analyst Administration and Supervisory Body, known as RAASB, in the prescribed manner.

Merely maintaining funds in an ordinary account does not establish compliance with the prescribed arrangement. Applicants should follow the applicable operational instructions for creating the lien and submitting evidence.

Annual Review of the Deposit

The applicable deposit slab is based on the maximum number of clients on any day of the previous financial year. Required adjustments must be made by 30 April of the subsequent financial year.

Maintaining reliable client-count records supports this review. Businesses should track client growth throughout the year so that any additional financial requirement can be planned in advance.

Preparing the Application Documents

Identity and Applicant Information

Organise identification records, contact information and business details according to the current application checklist. Check that names, addresses and other particulars are consistent across documents.

Where a trade name is used, clearly explain its relationship with the legal applicant. This helps establish a consistent applicant identity throughout the submission.

Qualification and Personnel Records

Prepare educational and certification records for the applicable individuals. A personnel summary should identify who conducts research, who manages the business and who handles other client-facing functions.

Clear role descriptions help connect each person with the relevant eligibility requirements. Review certificate validity and document readability before uploading records.

Entity and Ownership Documents

Companies, LLPs and partnership firms should organise their formation records, ownership information and relevant authorisations. The person submitting the application should have the appropriate authority.

Any differences between entity records and application details should be resolved before filing. Unclear ownership or management information can lead to additional queries.

Business and Operational Description

Describe the proposed services, client categories and delivery channels in plain language. Explain how research will be prepared, reviewed and distributed.

The description should reflect the intended operation accurately. Broad terms such as financial consultancy may be insufficient where the proposed business will provide stock-specific recommendations.

Declarations and Deposit Evidence

Review declarations carefully and prepare the prescribed evidence of deposit compliance. Supporting records should correspond with the applicant’s legal name and the required arrangement.

Before filing, review the documents as a complete set. This helps identify conflicting statements, missing information or outdated records.
