Securities and Exchange Board of India (SEBI) has amended the Credit Rating Agencies Regulations, 1999, introducing a new Chapter IIA for the establishment of a Past Risk and Return Verification Agency. Under this amendment, an eligible credit rating agency may function as a verification agency with SEBI’s approval. Additionally, such an agency must engage a recognized stock exchange as a data center for verification purposes, following SEBI-specified conditions. The amendment aims to enhance transparency in credit rating processes and strengthen risk assessment mechanisms. These regulations take effect upon publication in the Official Gazette.

SECURITIES AND EXCHANGE BOARD OF INDIA (CREDIT RATING AGENCIES) (AMENDMENT) REGULATIONS, 2025

F. No. SEBI/LAD-NRO/GN/2025/236.—In exercise of the powers conferred under section 30 read with sections 11 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Credit Rating Agencies) Regulations, 1999, namely: –

1. These regulations may be called the Securities and Exchange Board of India (Credit Rating Agencies) (Amendment) Regulations, 2025.

2. They shall come into force on the date of their publication in the Official Gazette.

3. In the Securities and Exchange Board of India (Credit Rating Agencies) Regulations, 1999, after Chapter II and before Chapter III, the following new chapter shall be inserted, namely, ─

“CHAPTER IIA

PAST RISK AND RETURN VERIFICATION AGENCY

Recognition of an eligible credit rating agency as a Past Risk and Return Verification Agency

12A. (1) Notwithstanding anything contained in these regulations, the activity of a Past Risk and Return Verification Agency as referred to in Regulation 16E of the Securities and Exchange Board of India (Intermediaries) Regulations, 2008, may be carried out by a credit rating agency, with the approval of the Board, on such terms and conditions as may be specified by the Board.

(2) The Past Risk and Return Verification Agency shall engage a recognised stock exchange as a Past Risk and Return Verification Agency Data Centre on such terms and conditions as may be specified by the Board.”
