Commissioner of CGST and CE Vs Emu Line Pvt. Ltd. (Supreme Court of India)
The Supreme Court of India dismissed the Revenue’s civil appeal against the CESTAT Mumbai order in favour of EMU Lines Pvt. Ltd. concerning service tax liability on freight-related receipts under Business Auxiliary Services. By its order dated 27 February 2023, the Supreme Court condoned the delay and held that the impugned order did not call for interference. Accordingly, the appeal was dismissed and all pending applications were disposed of. The Supreme Court’s brief order did not independently examine the classification of freight margins or provide detailed reasons on the underlying service tax dispute.
The underlying controversy arose from Order-in-Original No. 28-31/MA/Commissioner/Belapur/2020-21 dated 25 September 2020, confirming service tax demands for periods extending from April 2009 to June 2017, together with interest and penalties under the Finance Act, 1994. The Revenue alleged that EMU Lines provided composite services to exporters and shippers, including procurement of vessel space, taxable as Business Auxiliary Services. The assessee contended that the transactions involved independent purchase and sale of cargo space and that the issue was covered by an earlier CESTAT Delhi decision in its own case.
CESTAT Mumbai, in its order pronounced on 28 October 2022, relied on the earlier Tribunal decisions, particularly Greenwich Meridian Logistics (I) Pvt. Ltd., distinguishing principal-to-principal freight transactions from agency services performed on behalf of clients. It held that the freight margin arising from independent purchase and sale of vessel space was not consideration for Business Auxiliary Services. The Tribunal consequently set aside the adjudication order and allowed the assessee’s appeal. The Supreme Court’s subsequent dismissal left that Tribunal order undisturbed, without delivering a separate reasoned judgment on the substantive tax issue.
