Dhanasingh Prabhu Vs Chandrasekar & Another (Supreme Court of India)

Summary: The Supreme Court allowed the appeal of Dhanasingh Prabhu and set aside the Madras High Court order dated 26.02.2024 which had quashed a complaint under Section 138 of the Negotiable Instruments Act, 1881 against the two partners of Mouriya Coirs. The appellant had advanced Rs.21 lakh to the respondents for business purposes. To discharge the debt, respondent No.1 issued a cheque for Rs.21 lakh from the bank account maintained in the name of the partnership firm. The cheque was dishonoured because the firm’s account had been frozen. Statutory notice was issued to both partners, but no separate notice was addressed to Mouriya Coirs and the firm itself was not originally arraigned as an accused. The High Court treated these omissions as fatal under Section 141 and quashed the complaint.

The Supreme Court examined the legal character of an ordinary partnership firm and distinguished it from an incorporated company. Referring to Section 4 of the Indian Partnership Act, 1932 and the law governing partnerships, the Court explained that a firm is a compendious or collective expression describing the partners constituting it and does not possess a legal personality separate and distinct from those partners in the same manner as a company. Partners are personally, jointly and severally liable for acts of the firm. A company, on the other hand, is a separate juristic entity distinct from its directors and shareholders. This fundamental distinction was held to be important while interpreting Sections 138 and 141 of the Negotiable Instruments Act.
