Procedure for Filing DIR-6 to Update DIN Particulars under the Companies Act, 2013

Summary: Rule 12 of the Companies (Appointment and Qualification of Directors) Rules, 2014 deals with changes in particulars of an individual who has already been allotted a Director Identification Number (DIN). Where there is any change in the particulars stated in Form DIR-3, the DIN holder is required to intimate the Central Government in Form DIR-6 within 30 days of such change and also intimate the company or companies in which he or she is a director within 15 days. Particulars that may require updating include the DIN holder’s name, photograph, father’s name, nationality, date of birth, gender, PAN/passport/Aadhaar/driving licence details and residential address. Form DIR-6 is required to be accompanied by supporting proof of the change and prescribed identity/residence documents. The material states that documents should be self-attested and, in the case of foreign nationals, notarized or apostilled, as applicable. Changes in mobile number or email ID are to be made through DIR-3 KYC. The relevant form is required to be digitally signed and certified by a practicing Company Secretary, Chartered Accountant or Cost Accountant. The relevant statutory registers should also be updated, wherever applicable.

B. Who is Covered?

Any individual who has been allotted a DIN and subsequently has any change in the particulars furnished to the Central Government.

Timeline to intimate MCA: 30 days from the date of such change.

Timeline to intimate Company(ies): 15 days from the date of such change.

C. Procedure:

1. Form DIR-6:

Any individual having a change in the particulars furnished in connection with his/her approved DIN is required to file Form DIR-6 to intimate the Central Government/MCA about such change.

2. Following information / details can be updated by way of filing DIR-6:

a) Name of Director / Designated Partner

b) Photograph of Director / Designated Partner

c) Father’s Name

d) Nationality

e) Date of Birth

f) Gender

g) Income Tax PAN / Passport No. / Aadhaar No. / Driving Licence No.

h) Present Residential Address

i) Permanent Residential Address

3. Attachments of DIR-6:

Proof of change in the particulars.

Identity proof of the DIN holder (PAN is applicable for Indian nationals and Passport is applicable for foreign nationals).

Residence Proof (Bank Statement, electricity bill, telephone bill, utility bill, etc.).

Note: Documents should be self-attested and, in case of foreign nationals, the documents should be notarized/apostilled, as applicable.

4. For changes in Mobile No. or Email ID:

If an individual desires to update his/her mobile number or email ID, the same is required to be updated through DIR-3 KYC, subject to the applicable filing requirements and fees.

5. Certification:

Form DIR-6 / DIR-3 KYC, as applicable, shall be digitally signed and certified by a Company Secretary in practice, Chartered Accountant in practice or Cost Accountant in practice, in accordance with the applicable form requirements.

Note: It is advisable that the certifying professional should also certify the attachments to the form by putting his/her signature and stamp on the documents, wherever appropriate.

6. Updating the Registers:

The Register of Directors and Key Managerial Personnel and other relevant statutory records shall also be updated, as applicable.
