PRIVATE LIMITED COMPANY REGISTRATION

A firm that is privately owned and liability of its members is limited to the extent of share capital held by them or guarantee amount undertaken by them is called Private Limited Company. Private companies may issue stock and have shareholders, but their shares do not trade on public exchanges and are not issued through Public Offer.  A Private Limited Company takes the help of private investors and Venture Capital in capital formation and also, they do not require to disclose any company information to the general public.

The Registrar of Companies (ROC) is very specific about submitted documents for Registration of Private Limited Company. For example, if an applicant sends voter ID and passport as identity proofs and if there are any discrepancies in the names between both, then there are chances that the application may get rejected or requires re-submission which may delay the process for a couple of days. Even a small mistake in document submission  is not accepted.

Now, let’s know about mandatory documents required to be submitted while Registration of Private Limited Company:

• Documents to be submitted in case of Indian Nationals:-

Arrange Scanned and self-attested copies of:

1. PAN card (Mandatory)

2. Govt. ID proof – Voters’ ID or passport or driver’s license

3. Address proof –

1. Bank statement (not older than 2 months)

2. mobile bill or electricity bill (not older than 2 months)

4. Passport size photograph

5. Specimen signature – Specimen signature on AGILE PRO S format prescribed for the purpose

• Documents to be submitted in case of NRIs:-

Arrange Scanned and self-attested copies of:

1. PAN card (IF ANY)

2. ID proofs like Voter ID/passport or driver’s license

3. Residential address proof of the country of which he is resident

– Latest bank statement

– telephone bill, mobile bill or electricity bill

4. Passport size photograph

5. Specimen signature – Specimen signature on AGILE PRO S format prescribed for the purpose

Note: All the documents should be notarized (if NRI is currently in India or in a Commonwealth country). All the documents should be notarized or attested by the Indian embassy (if in a Non-Commonwealth Country).

• For Registered Office of the company

Arrange signed and scanned  copies of:

1. Latest Gas bill or electricity bill or telephone bill (not older than 2 months)

2. Notarized rental agreement

3. Receipt of the latest rent

4. In case of owned property – Sale deed or property deed

5. NOC from the property owner

• Other details of the company

1. Details related to share capital of the company i.e. authorized and paid up share capital

2. Details related to business activity and NIC code of the company

SOME IMPORTANT POINTS TO BE KEPT IN MIND FOR DOCUMENTS OF PRIVATE LIMITED COMPANY :

• Utility Bills: All utility bills should be latest, not earlier than 2 If they are older, the Registrar (ROC) might arbitrarily reject the application.
• Name on the PAN CARD: PAN is an important and mandatory proof for the entire company registration process and further legal procedures like filing taxes and compliances, the applicant has to ensure the name on the PAN is correct.
• No Objection Certificate: NoC has to be compulsorily provided by the owner of the property where the company is being registered. If it is not possible to get NoC, then the company can be registered by any acquaintance as it is just a correspondence address.

HOW MUCH TIME REQUIRED FOR REGISTRATION OF PRIVATE LIMITED COMPANY:
