In re Jindal Mittal Promoters And Builders Pvt. Ltd. (NCLT Mumbai)

Summary: The National Company Law Tribunal (NCLT), Mumbai Bench, in the matter of the proposed amalgamation of Jindal Mittal Promoters and Builders Pvt. Ltd. with Jindal Mittal Graha Nirman Pvt. Ltd., passed a first-motion order under Sections 230 to 232 of the Companies Act, 2013, on 3 November 2026. The application, filed on 28 June 2025, sought dispensation of meetings of equity shareholders and creditors and directions concerning publication and service of statutory notices. Both companies were engaged in real estate development and contracting, and their Boards had approved the Scheme on 11 June 2025. The appointed date was 1 January 2025. The proposed merger by absorption contemplated dissolution of the Transferor Company without winding up, with stated objectives including simplification of the group structure, reduction of administrative overheads, improved operational efficiency and financial synergies.

The Scheme provided that shareholders of Jindal Mittal Promoters and Builders Pvt. Ltd. would receive 100 fully paid-up equity shares of Jindal Mittal Graha Nirman Pvt. Ltd., having a face value of ₹10 each, for every 1,985 fully paid-up equity shares of ₹10 each held in the Transferor Company. The Tribunal initially found that the proposed share exchange consideration was unsupported by a valuation report. In response to its direction dated 16 July 2025, the Applicant Companies filed an additional affidavit dated 20 August 2025 enclosing a valuation report dated 11 June 2025 issued by an IBBI Registered Valuer. The Tribunal also examined the statutory auditors’ certificates concerning compliance of the proposed accounting treatment with the applicable accounting standards prescribed under Section 133 of the Companies Act, 2013. It noticed that the certificates did not contain the Chartered Accountant’s Unique Document Identification Number (UDIN) and therefore directed the companies to submit revised certificates bearing valid UDINs when filing the second-motion petition.

Regarding shareholder approval, the Tribunal recorded that the Transferor Company had four equity shareholders and the Transferee Company had six equity shareholders. Both companies had obtained consent affidavits representing 100% of their respective equity share capital. Accordingly, the Tribunal dispensed with the requirement to convene equity shareholders’ meetings for both companies. However, it adopted a different approach concerning creditors. The Tribunal referred to Section 230(9), which empowers it to dispense with a creditors’ meeting where creditors representing at least 90% in value confirm their agreement to the Scheme through affidavits.

The Transferor Company had no secured creditors but had one unsecured creditor with an outstanding balance of ₹65,000 as at 31 December 2024. The Transferee Company had two secured creditors with aggregate outstanding amounts of ₹1,03,78,430 and unsecured loans and creditors aggregating to ₹50,33,91,802.81 as at 31 March 2024, according to the particulars recorded in the order. Since the Applicant Companies had not produced the requisite creditors’ consent affidavits, the Tribunal declined to dispense with their meetings. It directed that meetings of the unsecured creditor of the Transferor Company and the secured and unsecured creditors of the Transferee Company be convened to consider and, if thought fit, approve the Scheme, with or without modifications.

The Tribunal directed that the creditors’ meetings be held within 60 days of the order, with at least 30 clear days’ advance notice in Form CAA.2, together with the Scheme and the statement disclosing material facts under Section 230(3) and the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016. Advertisements were required in Business Standard in English and Loksatta in Marathi. The Tribunal appointed a practising company secretary as Chairperson and another as Scrutinizer, prescribed procedures for quorum and voting, and directed filing of a compliance affidavit before the meetings and submission of the results thereafter. Statutory notices were also required to be served upon the Regional Director, Registrar of Companies, Income Tax Authorities, GST Authorities where applicable, Official Liquidator, MahaRERA and other relevant regulators. The companies were directed to file proof of service and subsequently present the Company Scheme Petition. The order was therefore confined to procedural directions at the first-motion stage and did not constitute final approval of the proposed amalgamation.
