In re Planetfirst Green Private Limited (NCLT Chennai)
Summary: The NCLT, Chennai Division Bench-I, disposed of the joint application of Planetfirst Green Private Limited, the transferor company, and POCL Enterprises Limited, the transferee company, by issuing directions for convening or dispensing with stakeholder meetings concerning their proposed amalgamation under Sections 230–232 of the Companies Act, 2013. The scheme contemplated integrating Planetfirst’s lead recycling and refining operations with POCL’s manufacturing business, expanding operations into Western India through Planetfirst’s Surat unit, strengthening access to recycled metal inputs and improving operational and financial efficiency. Both boards approved the scheme on 16 March 2026, and BSE’s no-objection letter dated 7 July 2026 was placed on record. The proposed appointed date was 1 April 2026, subject to the Tribunal’s approval. The scheme provided for issuing 13 POCL equity shares of ₹2 each for every 100 Planetfirst equity shares of ₹10 each and five POCL equity shares of ₹2 each for every 100 specified Planetfirst preference shares of ₹10 each. Shares held by POCL in Planetfirst would stand cancelled without any corresponding issue.
For Planetfirst, the Tribunal dispensed with meetings of its five equity shareholders, five preference shareholders and sole secured creditor on the basis of their unanimous consent affidavits. The secured creditor’s outstanding amount was ₹17,30,47,068. Planetfirst had 19 unsecured creditors with aggregate outstanding dues of ₹75,30,95,370; affidavits from 13 creditors representing 97.09% of the total unsecured debt supported dispensation of that meeting as well.
For POCL, which had 13,743 equity shareholders, the Tribunal directed an equity shareholders’ meeting on 27 November 2026 at 10:30 AM through video conferencing, with arrangements for attendance at its registered office if requested. Meetings of its 17 warrant holders and four secured creditors were dispensed with on the basis of unanimous consents; the secured creditors’ aggregate outstanding amount was ₹1,58,07,90,298.86. No preference shareholders’ meeting was required because none existed. POCL had 49 unsecured creditors with outstanding dues of ₹47,91,91,871.45. Although 20 creditors representing 96.78% in value had submitted consent affidavits, the Tribunal directed an unsecured creditors’ meeting on 27 November 2026 at 12:30 PM. The order records that direction without separately explaining why dispensation was not granted despite the stated consent percentage.
The Tribunal fixed quorums of 30 equity shareholders and 20 unsecured creditors, appointed Samer Kaker as chairperson and Mudit Jain as scrutinizer, and prescribed notice, newspaper publication, proxy, regulatory service and compliance requirements. Individual meeting notices were to be sent 30 days in advance, and newspaper advertisements were required at least 30 clear days before the meetings. Notices were also directed to the specified statutory and regulatory authorities. The order contains both a requirement to file meeting reports within a week and a separate direction to report voting results within three days of the meetings. These were procedural directions concerning the proposed scheme; the order did not grant final sanction to the amalgamation.
Cases Discussed:
- Scheme of Arrangement (Demerger) between Pondy Oxides and Chemicals Limited and POCL Enterprises Limited (Madras High Court); C.P. Nos. 338 and 339 of 2014; 04/12/2014. Referred to as corporate history: the order records that POCL’s equity shares were listed on BSE pursuant to the earlier demerger sanctioned by the High Court. It was not discussed as a precedent governing the present meeting directions.

ii. The amalgamation will enable POEL (Transferee Company) to expand its operations into Western India through PGPL’s (Transferor Company’s) existing business unit in Surat, Gujarat. This in turn will allow the combined businesses to serve customers in that region more efficiently and increase its reach in important industrial markets.
iii. The amalgamation will create a vertically integrated business structure that ensures secure, reliable, and cost-stable access to recycled metal inputs by integrating PGPL’s (Transferor Company’s) recycling and refining operations with POEL’s (Transferee Company’s) manufacturing processes, which in turn will also minimize supply disruptions, strengthen control over the entire production cycle, enhance operational continuity, and support better long-term planning and optimized capacity utilization across the business units. This will position the combined business on a strong pedestal while dealing with increasingly complex business future.
iv. The amalgamation will facilitate better, efficient and economical management, control and running of the combined businesses, and further development and growth of the business of the Transferee Company.
