Below is comprehensive guide on how to incorporate a Private Limited Company in India quickly and efficiently (company incorporation).
List of Documents Required for Private Limited Company
1) Proposed Name (Top 2 preferences in order of priority)
2) Main objects/ Business activities of the Company
3) Director’s KYC docs
Mandatory Docs: PAN, Passport-Size Photo, Mobile no., Email id
ID Proof (Any one): Aadhaar/ Voter ID/ Passport/ Driving License
Address Proof (Any one): Latest 3 Months bank Statement/ Electricity or Telephone Bill (Not older than 2 months)
4) Provide existing DIN if directors already hold one.
5) Registered office Proof-
Utility Bill: Electricity Bill/any Mobile bill/ Telephone Bill (Not older than 2 months)
If Rented – Rent agreement & NOC from Landlord
6) Share Capital of the company.
7) Shareholding pattern among subscribers.
8) Unique email id and phone number for the company (different from director’s personal emails).
Steps to incorporate a Private Limited Company:
1. Company Name Reservation
To form a company the first and most important thing is company name registration.
Remember, company name should be unique and not general. Providing general names can lead to resubmission.
Name application Government fee/ challan: Rs 1000/-
In first submission, you can apply for maximum 2 names.
If the name gets rejected, or there is any issue in objects, one resubmission is allowed in which you can provide 2 alternate names.
So overall you can provide 4 names in one challan.
If all of the above are rejected, then new challan of Rs 1000/- is to be paid for new names.
2. Directors Digital Signatures (DSC)
Obtain Class 3 Digital Signature Certificates (DSC) for all Directors and Shareholders.
Generally, Class 3 signature of 2/3 years are made.
You can choose from various service providers like Emudhra/ Pantasign/ Vsign etc.
For this, you need basic KYC docs and video verification is mandatory.
3. Directors & Shareholders Login on MCA
Directors and shareholders are required to register on MCA V3 portal. https://www.mca.gov.in/content/mca/global/en/foportal/fologin.html
To register, choose Business User> Manager/ Secretary/ Authorized Representative
Fill info and process the form.
Once this is done, login again and register DSC
MCA Services> DSC Services> Associate DSC.
4. Document Preparation
Prepare documents as provided in List of Documents along with attachments like Specimen Signature card, DIR2 and Declaration.
5. File Form Spice+ (INC 32), AGILE-PRO-S, E-MOA, E-AOA, INC-9
Fill all the information in the above forms and submit the same by affixing Directors, Shareholders and Professional DSC.
6. Pay applicable Government fees and Stamp duty
Once payment is done, your company is submitted for approval. Wait for CPC approval/ resubmission.
How to incorporate FAST- TIPS and TRICKS
1. Provide a unique name– It should not be common, no trademark issues.
2. Arrange documents first– Most directors have issues in providing their as address proof documents. Arrange these first. Also remember to ensure that bank statements have address of the director.
Also arrange company Registered office Proof documents.
3. Don’t wait for Digital signatures till name approval. You can apply for Digital signatures even before applying name. It is suggested to apply for Digital signatures as soon as you apply for name.
4. Register Digital Signatures on MCA– Do this as soon as Digital signatures are approved. No need to wait for company name approval for this.
5. Company docs: Once company name is approved, prepare Rent agreement in the name of company if required and create email id for company (if you want company email to resonate company name). Now you can also prepare and sign other documents of the company.
6. Submit Form: Submit SPICE+ (INC-32) and other forms.
Using the above procedure, you can incorporate your company as soon as 7-10 days. Depending on name approval and company approval timings this can also reduce/extend.
