TVS Motor Company announces demerger of consumer finance business

TVS Motor Company, a prominent player in the global two and three-wheeler market, has announced a significant strategic move to demerge its consumer finance and related business undertaking into a separate entity. The decision, approved by the Board of Directors, aims to create a focused platform that will unlock shareholder value and provide strategic autonomy for the Group’s consumer finance operations.

Under the proposed Composite Scheme of Arrangement, shareholders of TVS Motor will receive an equal number of shares in the newly formed holding company, allowing them to benefit from the future growth of both the mobility and consumer finance sectors. This move follows the Group’s earlier decision in August 2026 to consolidate its consumer finance businesses into a single operating platform, marking a pivotal step in its strategic evolution.

The demerger is designed to provide the consumer finance business with greater flexibility in capital allocation and the ability to pursue opportunities in the rapidly expanding financial services sector in India. The Group’s commitment to this sector is underscored by its investments in TVS Credit, Home Credit India, and the recent acquisition of education finance company Varthana. These investments, along with a stake in Jana Small Finance Bank, position the demerged entity to capitalise on the growing financial needs and digital financial ecosystem in India.

Sudarshan Venu, Chairman of TVS Motor Company, expressed confidence in the potential of India’s financial services sector, highlighting the opportunities driven by digitisation and expanding credit access. He emphasised that the demerger would create additional value for stakeholders, allowing the consumer finance businesses to realise their full potential while enabling TVS Motor to concentrate on its core automotive and mobility operations globally.

The implementation of the Composite Scheme is subject to necessary statutory, regulatory, and shareholder approvals. Additionally, the Board has approved acquiring a controlling interest in STPL Trading and Services Private Limited, which is merging with TVS Credit Services, thereby increasing its stake in the latter.

Market analysts view this strategic demerger as a positive step for TVS Motor Company, aligning with the broader trend of companies seeking to unlock value through focused business units. The move is expected to enhance operational efficiencies and provide both entities with the agility to pursue sector-specific opportunities, reflecting TVS Motor’s long-term vision in supporting India’s economic growth and financial inclusion.
