Name Application for a Company could be made through SPICe+ Part A under New Application. From 23rd February, 2020 filing of WEB Based Form RUN for Name Application has been discontinued for Name Application. Now, Form RUN WEB Based is used only for Change of Name of an existing Company.

1. DETAILED PROCEDURE FOR NAME APPLICATION OF A COMPANY

a) Check availability of proposed Company Name from http://www.mca.gov.in/mcafoportal/showCheckCompanyName.do

i. The Name of the Company should be unique It should not be same, similar, identical or resembling to the Name of the existing Company or LLP Registered. Phonetically similar names are also to be avoided.

ii. The Name of the Company should strictly be in accordance with Rule 8 of The Companies Incorporation Rules, 2014

b) Check the trademark search from the https://ipindiaonline.gov.in/tmrpublicsearch/frmmain.aspx

i. The Trademark Class can be checked from the Fourth Schedule of Trade Marks Rules,2002. There should not be any Trademark Registered on the Name application.

ii. If there is a Trademark Registered on any of the word proposed for the Company then the Company requires No objection Certificate from the owner of the Trademark Registered.

c) Draft Main Object Clause of the proposed Company

d) The Main division of industrial activity of the Company to be selected from the below table. The selection for the Industrial Code should be aligned with the Main Object Clause of the Company.

e) Now, one is ready to proceed for Name application login to MCA Website (http://www.mca.gov.in/mcafoportal/login.do)

f) Click on MCA services then click further to Spice click on New application, proceed further with Name application by selecting from the following table

‘Company limited by guarantee’ selected in field 1(c).

g) The Main division of industrial activity of the Company is to be written

h) Summary of the objects to be pursued by the company on its incorporation *

I. One can either write here the Main Object Clause of the proposed Company or

II. Write as “THE MAIN OBJECT CLAUSE OF THE COMPANY IS ATTACHED HEREWITH”

i) Particulars of the proposed or approved name (There are 2 options given for proposing Names for Name application of a Company) as per the preference to be given one should write names.

j) Choose file: The last step for Name reservation of the Company is to browse the attachments to be done;

I. If Trademark is registered on any of the word proposed for Company then the attachment would be Main Object Clause of the proposed Company + Trademark Certificate + NOC of the Trademark + Aadhar Card and PAN Card of the Trademark holder.

II. If Trademark is not registered then only Main Object Clause of the proposed Company is required to be attached.

k) Click on Auto Check this is a preliminary check done by MCA conducted by the system, it appears that the name applied for is not identical to an existing name in the electronic registry. However, the name proposed by you for your company is still subject to a more comprehensive check at Central Registration Centre (CRC).

l) Once the auto check is done, click on save the following message will be shown by the system as *Spice+ Part A details have been successfully saved!

m) Click on Submit to submit the application it will ask whether want to proceed for Incorporation or submit only Name Application.

n) If only wants to apply for Name, then click on Submit for Name Reservation it will ask you for the payment. Rupees 1000/- is the fees for Name application of Company.

This is how the Name application is done for the proposed Company in Spice Plus Part – A.

2. EXTENSION OF RESERVATION OF COMPANY NAME

In notification dated 24th December, 2020, the MCA has notified that now the MCA will provide extension of reservation of name in certain cases. Under the Rule Registrar shall extend the period of a name reserved under rule 9 up to 60 days on Payment of Fees. The rules for the extension of the reservation of name in certain case have been specified as under:

Upon payment of fees provided below through the web service available at www.mca.gov.in under Spice Plus Part – A there is a word written EXTEND, for extension of Name application the Registrar shall extend the period of a name reserved under rule 9
