In re Yamaha Motor India Private Limited (NCLT Delhi)
Summary: The National Company Law Tribunal, Principal Bench, New Delhi, sanctioned the Composite Scheme of Arrangement among Yamaha Motor India Private Limited, the Demerged Company; Yamaha Motor India Sales Private Limited, the Transferor Company; and India Yamaha Motor Private Limited, the Transferee/Resulting Company, under Sections 230–232 of the Companies Act, 2013. The scheme covered the demerger of the management advisory and consulting services business, described as the Planning division, into the Resulting Company and the amalgamation of the Transferor Company with the Transferee Company. Its stated objectives included focused management, development of core competencies, separation of business risks, improved access to capital and enhancement of shareholder value. The Tribunal fixed the appointed date as 1 April 2026; the effective date depended on fulfilment of the conditions, approvals and filings specified in the scheme.
The first-motion order dated 11 May 2026 had dispensed with meetings of shareholders and creditors as recorded in the proceedings. Following the second-motion petition, notices were served on the statutory authorities and newspaper publication was undertaken. The Official Liquidator reported that the Transferor Company’s affairs did not appear to have been conducted prejudicially to its members or public interest. The Regional Director’s observations, based on the Registrar of Companies’ report, concerned MSME dues, compliance with FEMA in view of foreign ownership, and fees on the revised authorised share capital. The companies furnished responses and undertakings addressing those matters, including discharge of the relevant dues and compliance with applicable law.
The Income Tax Department reported pending proceedings and outstanding liabilities of the Transferee Company and expressed no specific objection subject to preservation of the Revenue’s rights. The companies undertook that pending demands and litigation would continue to be dealt with according to law and that tax demands relating to the Transferor Company or Demerged Undertaking would be discharged by the Transferee/Resulting Company. The Tribunal also noted the auditor’s certificate concerning the proposed accounting treatment, the valuation report supporting the share exchange ratio, and the financial statements placed on record. After considering the approvals, statutory authorities’ positions and undertakings, it found no impediment to sanctioning the scheme, subject to the conditions in its order.
The sanction expressly grants no exemption from stamp duty, taxes, other statutory dues or independently required permissions and compliance. It does not determine tax treatment or provide a defence against treatment under the Income Tax Act. The order preserves action for statutory violations, scrutiny of disproportionate transactions, money laundering or tax evasion, and ongoing or future investigations. Its directions address transfer of property, liabilities, contracts, proceedings and statutorily available benefits; continuity of employee service on terms no less favourable; compliance with the undertakings; preservation of records; and the Income Tax Department’s recovery recourse. A certified copy must be delivered to the Registrar of Companies within the period specified in paragraph 33, and annual implementation statements in Form CAA 8 must be filed within 210 days of each financial year-end until full implementation. The company petition was allowed and disposed of accordingly.
