In re Futech Internet Private Limited (NCLT Chandigarh)

Summary: The National Company Law Tribunal, Chandigarh Bench, sanctioned the scheme of amalgamation of Futech Internet Private Limited, the transferor company, with Anka India Limited, the transferee company, under Sections 230 to 232 of the Companies Act, 2013, subject to approval of the second-motion petition by the transferor company’s jurisdictional tribunal. After considering the companies’ clarifications and undertakings, the Tribunal found that the statutory and regulatory authorities’ observations did not impede sanction. It considered the scheme bona fide and consistent with shareholders’ and creditors’ interests.

The Regional Director and Registrar of Companies had raised matters concerning audit qualifications, statutory dues, risk documentation, changes to the main objects, capital reserves and authorised capital fees. The transferee company furnished explanations and undertakings, following which the authorities recorded no further adverse observations. The Income Tax Department reported an outstanding demand of Rs.5,99,560 for Assessment Year 2023-24 against Anka India Limited and gave a conditional no-objection. The company undertook to cooperate in tax proceedings, meet future demands arising under law and carry forward accumulated losses only in accordance with the Income Tax Act. The statutory auditors certified that the proposed accounting treatment complied with the applicable Indian Accounting Standards.

The Tribunal expressly preserved the Income Tax Department’s right to examine tax liabilities, loss set-offs and any tax-avoidance implications. Sanction did not grant exemption from stamp duty, taxes, charges or other legal requirements, or prevent action for statutory violations. The scheme provided for transfer of properties, liabilities, contracts and pending proceedings, with statutory benefits available only to the extent permitted by law. Employees were to continue without interruption of service and on terms no less favourable. The appointed date was fixed as 1 April 2025. The transferee company was directed to file the certified order and scheme with the ROC through e-form INC-28 within the stipulated period and lodge the authenticated documents for stamp-duty adjudication within 60 days of receiving the order. The petition was allowed and disposed of.
