In re Pointleap Projects Private Limited (NCLT Ahmedabad)
Summary: The NCLT Ahmedabad sanctioned the Scheme of Amalgamation of Pointleap Projects Private Limited and Superheights Infraspace Private Limited with Adani Electricity Mumbai Limited, with an appointed date of 1 April 2025. The joint petition sought approval under Sections 230 to 232 read with Section 234 of the Companies Act, 2013. The companies’ boards had approved the scheme, and meetings of shareholders and creditors had been dispensed with on the basis of consent affidavits, including through a subsequent rectification order concerning creditors’ meetings. The Regional Director and Registrar of Companies raised observations relating to accounting treatment, authorised capital fees, creditor and charge disclosures, regulatory permissions, significant beneficial ownership filings and continuing statutory compliance. The companies furnished explanations and undertakings in response.
The Income Tax Department conveyed its no objection subject to preservation of tax liabilities and its powers under the applicable law. The order records an outstanding demand of Rs. 40,33,150 against the transferee company and pending penalty and appeal proceedings for “AY 2024”. The companies undertook that outstanding or future demands concerning the transferor companies would be discharged by the transferee company in accordance with law. They also stated that the accounting treatment complied with the prescribed standards, that no insolvency or winding-up proceedings were pending, and that the scheme involved neither capital reduction nor corporate debt restructuring. After considering the reports, replies and material on record, the Tribunal found the requirements of Sections 230 and 232 satisfied and the scheme bona fide and in the interests of shareholders and creditors.
The Tribunal expressly clarified that sanction did not grant exemption from stamp duty, income tax, GST, other charges or regulatory compliance. The Income Tax Department remained free to examine tax consequences and initiate action in accordance with law, including where the scheme resulted in tax avoidance. The order provided for transfer of assets, liabilities and duties, dissolution of the transferor companies without winding up upon compliance, and continuity of employees’ service on terms no less favourable. It also directed statutory filings, submission for stamp-duty adjudication within 60 days, filing of the order and scheme in Form INC-28 within the stipulated period, and payment of quantified Regional Director and Official Liquidator expenses.
