Empee Holdings Limited Vs DCIT (Madras High Court)

Madras High Court has dismissed an appeal filed by Empee Holdings Limited, upholding the concurrent findings of the Income Tax Appellate Tribunal (ITAT), the Commissioner of Income Tax (Appeals) [CIT(A)], and the Assessing Officer regarding the validity of reassessment proceedings and the disallowance of interest on funds diverted as interest-free loans to group companies. The case, pertaining to the assessment year 2003-04, primarily revolved around whether there were sufficient ‘reasons to believe’ for income escapement and the allowability of interest expenditure under Section 36(1)(iii) of the Income Tax Act, 1961.

The assessee, Empee Holdings Limited, had filed its original return of income for the assessment year 2003-04 on December 1, 2003, declaring an income of Rs.4,33,900. A revised balance sheet was subsequently submitted on December 22, 2003, and the return was processed under Section 143(1) of the Act on June 23, 2004.

Reassessment Triggered by Scrutiny

Reassessment proceedings under Section 147 of the Income Tax Act were initiated against Empee Holdings with a notice issued on March 16, 2010. The assessee responded on April 12, 2010, requesting that the original return be considered in response to the Section 148 notice. Through their Chartered Accountant, detailed submissions were made to the Assessing Officer (AO).
