MSME Amendment Act 2026: Sections Effective from 15 October and 15 December

Summary: The Ministry of Micro, Small and Medium Enterprises, through Notification S.O. 5575(E) dated 12 October 2026, has appointed two dates for commencement of specified provisions of the Micro, Small and Medium Enterprises Development (Amendment) Act, 2026 (Act No. 16 of 2026). Sections 2 to 7, Section 11 and Sections 13 to 17 came into force on 15 October 2026, whereas Section 12 will come into force on 15 December 2026. The first phase addresses definitions, the National Board, investment-and-turnover-based classification, free and voluntary digital registration, consequential interest provisions, TReDS-based settlement of MSME invoices, the establishment of additional Facilitation Councils, disclosures, penalties, adjudication, appeals and rule-making powers. The second phase changes the composition of Facilitation Councils. Importantly, Sections 8, 9 and 10 of the Amendment Act, dealing with significant delayed-payment dispute-resolution and enforcement reforms, have not been assigned a commencement date under this particular notification. Businesses must therefore distinguish between the provisions of an enacted law and provisions that have actually commenced. Operational compliance will also depend on the detailed rules and notifications applicable to the particular provision.

Commencement Dates Under Notification S.O. 5575(E)

Commencement date Amendment Act sections Principal subjects
15 October 2026 2–7, 11 and 13–17 Definitions, Board, classification, registration, TReDS, Councils, reporting, penalties and rule-making
15 December 2026 12 Composition of Micro and Small Enterprises Facilitation Councils
No date appointed by this notification 8–10 Changes relating to dispute resolution, enforcement and setting aside awards or settlements

Important: These are section numbers of the Amendment Act, 2026. The corresponding provisions of the principal MSMED Act, 2006, may carry different section numbers.

Section-Wise Extracts and Analysis of Provisions Brought into Force

Editorial note: The extracts below are condensed statements of the substance of the statutory provisions, not verbatim reproductions. For exact statutory language, consult the full text of the Amendment Act, 2026.

Section 2: Amendments to Definitions — Effective 15 October 2026

Condensed section extract: The definition provisions of the principal Act are amended, including insertion of a definition for the Development Commissioner.

Analysis: This change gives statutory recognition to the designated administrative office and supports related institutional changes. Enterprises should read the revised definitions alongside the existing definitions under the MSMED Act rather than assume that all earlier terms have been replaced.

Section 3: National Board Representation — Effective 15 October 2026

Condensed section extract: The composition of the National Board is amended to reflect the role of the Development Commissioner.

Analysis: The change concerns institutional representation and does not itself impose a new filing obligation on an MSME.

Section 4: Classification of Enterprises — Effective 15 October 2026

Condensed section extract: Section 7 of the principal Act is amended to recognise investment in plant and machinery or equipment together with turnover as the basis for classifying enterprises.

Analysis: Classification is relevant to access to MSME benefits and obligations. The amendment should not be read as announcing new numerical limits by itself; the applicable notified thresholds and classification rules must be checked separately.

Section 5: Digital Registration — Effective 15 October 2026

Condensed section extract: Section 8 is substituted to provide for free and voluntary filing of an MSME registration memorandum through a notified national digital platform. State digital platforms may also be notified for State benefits.

Analysis: The change strengthens the statutory basis for digital registration. Businesses should use the authorised registration channels and ensure that declarations are accurate. The expression ‘voluntary’ in the registration provision should not be confused with eligibility conditions for individual schemes or benefits.

Section 6: Consequential Amendment to Interest Provision — Effective 15 October 2026

Condensed section extract: Section 14(2) of the principal Act is amended by omitting a reference to subsection (1) of that section.

Analysis: This is a textual amendment to the statutory interest framework. It should be interpreted with the full amended provision, rather than as a stand-alone change to an interest rate.

Section 7: New Section 15A on TReDS Invoice Settlement — Effective 15 October 2026

Condensed section extract: A new Section 15A provides for Central Public Sector Enterprises to route settlement of invoices arising from procurement from micro, small and medium enterprises through RBI-authorised Trade Receivables Discounting System (TReDS) platforms, in the prescribed manner. Enabling provisions address other notified public bodies and entities.

Analysis: The amendment aims to improve transparency and the settlement process for MSME receivables. CPSEs and other covered buyers should assess vendor onboarding, invoice acceptance, platform integration and applicable implementation rules. For background, see TaxGuru’s RBI TReDS Directions, 2026 and explanation of TReDS financing.

Section 11: Establishment of Facilitation Councils — Effective 15 October 2026

Condensed section extract: Section 20 is substituted to permit State Governments to establish an adequate number of Micro and Small Enterprises Facilitation Councils in addition to existing Councils, provide for regular meetings and support necessary infrastructure and resources.

Analysis: The provision addresses institutional capacity for dealing with references concerning delayed payments. It does not mean that a new Council is automatically established in every district; establishment and territorial jurisdiction depend on State notifications.

Section 12: Composition of Facilitation Councils — Effective 15 December 2026

Condensed section extract: Section 21 is substituted to provide for Councils consisting of three to five members, including a Chairperson not below the rank of Joint Director, representation from micro or small enterprise associations and at least one member from the field of law.

Analysis: This composition change begins on 15 December 2026, not 15 October. State-level rules may prescribe additional details relating to membership, vacancies and procedure. Businesses should avoid treating the revised composition as already operative before its notified commencement date.

Section 13: New Section 22A on Reporting of TReDS Invoices — Effective 15 October 2026

Condensed section extract: New Section 22A requires specified Central Public Sector Enterprises and other notified bodies or entities to disclose particulars of MSME invoices routed and settled through TReDS in the prescribed form and manner.

Analysis: Covered entities should establish systems to reconcile procurement records, invoices routed through TReDS and settlement information. The precise form, timing and manner of reporting must be determined from the applicable rules.

Section 14: Penalties, Adjudication and Appeals — Effective 15 October 2026

Condensed section extract: The penalty provisions are revised and an adjudication and appeal framework is introduced, including consequences for specified inaccurate information and disclosure defaults.

Analysis: The framework reflects a graded compliance approach. Businesses should ensure that MSME registration declarations and statutory disclosures are accurate, maintain supporting records and review the applicable procedure before responding to a notice. A general description of penalties should not replace the exact provision applicable to a particular contravention.

Sections 15 and 16: Central and State Rule-Making Powers — Effective 15 October 2026

Condensed section extract: The rule-making provisions of the principal Act are expanded to support implementation of the amended framework.

Analysis: Several changes depend on rules governing registration, TReDS settlement and disclosures, Councils, adjudication or appeals. Stakeholders should monitor further notifications rather than assume that every administrative detail is settled by the commencement notification alone.

Section 17: Savings and Continuity — Effective 15 October 2026

Condensed section extract: A saving provision preserves earlier actions and instruments under the principal Act to the extent provided by the amendment.

Analysis: This supports continuity during the transition to the amended regime, subject to consistency with the revised statutory provisions.

Sections 8, 9 and 10: Not Commenced by This Notification

Sections 8, 9 and 10 of the Amendment Act concern important changes to the dispute-resolution framework, including mediation and arbitration under Section 18, a proposed enforcement mechanism through Section 18A and changes to Section 19 concerning applications to set aside awards or settlements. Notification S.O. 5575(E) does not specify a commencement date for these provisions. Their text is part of the enacted Amendment Act, but they must not be represented as operational merely because other sections commenced on 15 October 2026. See the full Amendment Act for the relevant wording.

Practical Compliance Checklist

  • Confirm whether the enterprise’s MSME classification and registration details remain accurate under applicable notified criteria.
  • Identify whether the buyer is a CPSE or another entity covered by a TReDS settlement requirement.
  • Review invoice routing, settlement records and reporting processes for any applicable Section 15A or Section 22A obligations.
  • Track State notifications on the establishment and jurisdiction of additional Facilitation Councils.
  • Prepare for the revised Council composition from 15 December 2026, subject to applicable implementing arrangements.
  • Monitor subsequent rules and notifications governing compliance and enforcement.
  • Do not apply the uncommenced changes in Sections 8–10 solely on the basis of this notification.

Frequently Asked Questions

1. Did the entire MSME Amendment Act, 2026 commence on 15 October 2026?

No. The notification commences Sections 2–7, 11 and 13–17 on 15 October, Section 12 on 15 December, and does not appoint a date for Sections 8–10.

2. Is the revised composition of Facilitation Councils already effective?

No. Section 12 is scheduled to commence on 15 December 2026.

3. Does the notification itself prescribe new MSME turnover limits?

No. It appoints commencement dates for statutory provisions; the applicable numerical classification thresholds must be established from the relevant notified criteria.

4. Must every private buyer immediately use TReDS?

No such universal conclusion follows from this notification. The amended framework specifically addresses CPSEs and provides mechanisms for extending requirements to other specified entities. The coverage and prescribed manner must be checked.

5. Have the new mediation and arbitration timelines under Amendment Act Section 8 commenced?

Not under Notification S.O. 5575(E), which does not appoint a date for Section 8.
