SPICE+ : INCORPORATION OF THE COMPANY:-
SPICE+ is divided into two Parts:
1. SPICe+ Part A represents the section wherein all details with respect to name reservation for a new company has to be entered.
2. SPICe+ Part B represents the section wherein all remaining details required for incorporation of a company has to be entered
SPICe+ – PART-A (NAME RESERVATION):
1. Select SPICE+
2. After clicking on SPICE+, Following details will appear,
3. After clicking on Name application, Following information will appear
Once Part A is completed, user can have three options,
1. Submit for name reservation by making the Payment Of Rs.1000
2. Proceed form Incorporation Process i.e. PART-B
3. Cancel
FAQ in relation to RUN:
1. If name is already approved through RUN? Which form to file:
Ans: SPICe Form
2.Whether we can apply only for name approval without incorporation?
Ans: Yes
3. How many name can be applied:
Ans: Two names can be proposed in case application is being made ONLY for name reservation i.e. if SPICe+ Part A is submitted individually.
In case complete SPICe+ is being submitted for name reservation as well as incorporation, only one name can be proposed.
Some Important Points:
- Stakeholders will not be required to even enter the SRN of the approved name as the approved Name will be prominently displayed on the Dashboard.
- RUN service would be applicable only for change of name’ of an existing company.
- SPICe+ Part A can either be submitted individually ONLY for name reservation or can be submitted together with SPICe+ Part B for both name reservation as well as incorporation.
SPICe+ – PART B:
Each Section of PART B contains Save and Continue Button.
PART B include following bais details:
1. Registered office details
2. Subscriber and Director Details
3. Capital Details
4. PAN and TAN details
Declaration by all Subscribers and first Directors (IN0C-9) shall be auto- generated in pdf format and will be submitted in Electronic form
in all cases, except where:
(i) Total number of subscribers and/or directors is greater than 20 and/or
(ii) Any such subscribers and/or directors has neither DIN nor PAN.
Once the SPICE+ is filled completely, it will be converted into pdf for affixing the DSC
AGILE-PRO:
AGILE PRO will be filed as linked form for
1. Registration of GSTN
2. Registration of ESIC
3. Registration of EPFO
4. Professional Tax Registration
5. Bank Account Opening
- Registration for EPFO and ESIC shall be mandatory for all new companies incorporated w.e.f 15 February 2020 and no EPFO & ESIC registration nos. shall be separately issued by the respective agencies
- Registration for Profession Tax shall also be mandatory for all new companies incorporated in the State of Maharashtra w.e.f 15th February 2020.
- It is a mandatory requirement to apply for opening the company’s Bank account through the AGILE-PRO linked web form Presently Punjab National Bank has been integrated with SPICe+ for opening a Bank account.
- While applying for the opening of a bank Account user will have the option to select Bank. Branch of Bank will be automatically allocated in the basis of Registered office
FAQ in relation to PART B:
1. How many DINS will be alloted:
Ans: Maximum three Directors are allowed for using this integrated form for filing application of allotment of DIN while incorporating a company other than a Producer company.
In case of a Producer company, maximum of five directors are allowed to apply for allotment of DIN
2. Can we make changes in e-AOA:
Ans: Yes
3. How many times changes/modifications to SPICe+ (after generating pdf and affixing DSCs) can be made?
Ans: Changes/modifications to SPICe+ (even after generating pdf and affixing DSCs), can be made up to five times by editing the same web form application which has been saved, generating the updated pdf affixing DSCs and uploading the same
However, there is no limit to Change SPICe+ before generating pdf and affixing DSCs.
4. Is any Fee payable by companies at the time of incorporation for opening Bank A/c through SPICe+?
Ans: No.
5.What is the sequence of uploading linked forms to SPICe+?
Ans: SPICe+—->
e MOA[if applicable] —->
e AOA[if applicable] —->
URC-1[if applicable] —->
AGILE-PRO[mandatory in all the cases] —->
INC-9[if applicable]

while resubmitting following errors are occurred

While Prescrutiny of Part B of Spice+ showing an error of ‘SRN R737XXXXX of form Spice+ Part A entered is not an approved SRN. Please enter approved SRN of INC-1’. The SRN mentioned here not related to me. Please help me to solve this issue.
Hello professional friends.
So recently my team has applied for new co registration, we got approval of name and than we did submission of documents, got resubmission stating noc should be offered by owner whose name is mentioned in the electricity bill, but here in this client case he took property on lease In Gurugram Haryana state from subleasee who has taken the premises for co working from the actual owner for 5 years. Now the main lessor denied to offer noc to third person which is my client so client has taken new agreement done for virtual office in the Delhi state, now it clicked us that state got change and moa is still showing Prefilled Haryana state upon resubmission with new agreement for address.
Below are queries need your suggestions –
1 we raised query on this and got revert that we can make change before final process in same roc jurisdiction and state only. But client made new agreement in Delhi state so how to proceed? Whether we shall resubmit our form with new address as moa still showing Haryana roc.
2 can we apply fresh with all documents again? In this case name is reserved till 20-9-2020 how can we get it cancel and can go ahead??
Any other solution if there is any one having than please help us out.

I have to convert a society to section 8 . But when will I get the URC form details to add. I filled the form but when will URC be applicable
I am filling part B form and at stamp duty page I am selecting option pay stamp duty electronically through MCA system. But it is not showing option for payment. At pay stamp duty option, they are asking SRN .. how to make payment of stamp duty then?

Dear Sir/Ma’am
While submitting part B of Spice + Form i got an error that “The ID number………entered already exists against an active DIN”
The issue id the given ID number in the Error i have not even entered anywhere. Secondly, Both of my directors are new they are never allotted DIN in their entire Life.
Also, the given ID number in the error is registered under the different person who has no connection with our company.
Kindly anyone resolve this issue, i have raised ticket but no reply received.
My resubmittion date is 8th August 2020.
I’ve submitted the SPICe+ form and downloaded the PDFs. While uploading the forms, error comes as – “DSC not attached in MoA for PAN xxxxxxxx” , whereas form is complete in all aspects.
I’ve resubmitted the MoA and downloaded the PDF again, now it is throwing error even while affixing DSC. While affixing the DSC in SPICe+MoA, the file gets corrupt and force closes.
Kindly help at the earliest.

Spice+ part B after assigning DSC prescrutiny tab is not enabling. All tabs freezed. Mca Help desk have no solution. During uploading error shows prescrutiny not done.

I am trying to incorporate a new company and the AGILE form cannot be completed. Once the photo is selected the message image uploading successful is coming. While trying to save and exit it will show again “select an image”

Spice+ AOA form is showing error “Company Name should end with the word ‘(OPC)’ private limited” in case table ‘F’ is selected.

“District selected is not in the list of implemented area. Please select some other district”
We have only 2 district and 1. Andaman Islands and 2 Nicobar Islands.

The details of Subscribers are not reflected in eMOA & eAOA pdf forms. Due to which i am not able to attache DSC. Please do needful
By mistake we have cancel the SRN of Spice+B form due to payment decline and after the cancel the SRN status showing expired. Now when we try to upload spice+B form alongwith other form such as MOA,AOA, etc.then message showing presecurutiny error. Please advise
If we have exceeded the limit of 5 times of modification after generation of PDF’s , then do we have to submit the new fresh application along with the name..?

We are in the process of registration of new company PRIVATE LIMITED using Spice+ form. We have prepared all the forms as per Spice+ and attempted to upload two times. Due to Complaint of MCA site the form for properly uploaded but payment not done. Now the error is “ prescrutiny field is missing in e form”. The fill coloumn is not active so we cannot prescrutiny the forms.
I am applying for company formation through spice+. I have submitted Spice+ Part B but now I want to modify the form. Can I modify it. Plus Spice + AOA, after check form. I am facing error in saving.

Pre scrutiny of part b of spice form is complete. But when we click on submit button it shows: unable to read. We have raised ticket, called helpline number, tried using different systems and different web browsers. But still issue is unresolved. Kindly help at the earliest.

I have uploaded attachment in “2.Articles of Association ” under attachments instead of uploading attachment under “Proof of Office address (Conveyance/ Lease deed/Rent Agreement etc. along with rent receipts)” . WHILE SELECTING APPLICATION NO AND FILL OPTION ON THE EXISTING APPLICATION AND PROCEED, SYSTEM IS GIVING A MESSAGE Propose only one name if you wish to proceed for incorporation. SINCE PART A IS APPROVED WE CANT EDIT THE SAME. THAT MEANS IF PART A IS USED FOR NAME RESERVATION SEPERATELY, PART BE CANT BE USED. THEN HOW DO WE FILE FOR INCORPORATION ? OLD SPICE AND AGILE?
