PROCEDURE FOR INCORPORATION OF LIMITED LIABILITY PARTNERSHIP (LLP) / FORMATION OF LLP
LLP is hybrid form which incorporates benefits of both Partnership and Companies. Revised Process for Incorporation of limited liability partnership (LLP) after considering Limited Liability Partnership (Second Amendment) Rules, 2018 as applicable from 2nd October, 2018.
STEPS TO BE FOLLOWED before NAME APPLICATION:
Note: Name already registered as Trademark should not be applied in general basis without prior NOC from the existing Designated Partner of that LLP / Co / Properitor.

One can directly apply for Incorporation without RUN-LLP form. One can file Form FiLLip in which name can also be applied alongwith all attachments for directly receiving the Incorporation Certificate. DIN is also applied in the same. Rest Forms remain same.
Simple Steps for name application through ‘RUN-LLP’ (Name Application)
NOTE for RUN-LLP:
Auto Check of name is done before submission of RUN-LLP
One chance of Resubmission is provided by CRC (Centre Registration Centre) incase of any reason for non-providing of that name or any query.
Name Approval Certificate is valid for 3 months from the Date of Certificate received.
Form to be filed after Name Application is received is ‘e-Form FiLLiP’
In Form FiLLiP details such as SRN of RUN is required to mention. Then, the Registered Office address details, No of Designated Partners, Partners with or without DIN, Total Contribution etc all details in the Form.
Proof of Registered Office Address (Electricity Bill, Telephone bill, Mobile Bill and Gas Bill not older then 2 months)
Subscribers Sheet including Consent
NOC from the Owner of the premises for Registered Office Address for LLP.
Identity Proofs and Residential Proofs to be mandatory attached if DIN application is made through this e-Form
NOTE for e-Form FiLLiP
DIN application is also been provided directly incase individual do not have the same.
DSC of only one Designated Partner is required to be attached incase, if all Designated Partners / Partners do not have DIN.
Last Step is Filing of ‘e-Form 3’.
In Form 3 basic details is required to be filled in the e-Form.

LLP Agreement is required to be attached to the Form.

Stamp paper / Frankin is to be done on LLP Agreement.
Rs. 100/- Stamp Duty on Rs. 1000/- Total Contribution. Maximum Stamp Duty is Rs. 15000/-
Q 1. Mandatory requirements of Designated Partners for LLP Incorporation ?
Ans. At least two individuals as designated partners. They should be resident in India. Also, they are responsible for doing all acts, matters, and things as per the requirements of an LLP.
Q 2. Minimum Contribution for LLP ?
Ans. There is no Minimum requirements of Total Contribution for LLP Incorporation. Example: It can be formed with minimum as Rs. 1000/- Capital also.
