♦ Main differences between V2 and V3 portal.
The main differences between V2 and V3 of the incorporation process on the Companies House portal are:
- Digital authentication: V3 incorporates the use of digital authentication to verify the identity of the person submitting the application. This means that a person holding DIN and affixing any form on the V3 portal must register under Business User and create his personal login and associate his DSC before filling any form.
- Reduced documentation: V3 reduces the amount of documentation required for incorporation.
- Real-time validation: V3 incorporates real-time validation of the data you enter, which helps to reduce errors and improve the accuracy of the information provided.

♦ Major changes done in Part A and Part B of Incorporation forms in V3 when compared to V2?
In Spice Part A: –
- The option to select 3 business activities with a 5-digit code was introduced with the NIC code 2008. Furthermore, various checks, business rules, and trademark validations have been implemented at the FO level to ensure compliance with The Companies (Incorporation) Rules, 2014.
In Spice Part B: –
- For section 8 companies, e-MOA and e-AOA were introduced,
- INC-3 made it mandatory to fill in the e-form and submit the DSC of the nominee. (In the case of OPC “one Person Company”).
- Capital can now be bifurcated into different classes as per the new changes in the Incorporation form.
- To enhance BO processing, a box is now displayed adjacent to the data entry in the form at the FO level where it is mandatory to upload attachments such as identity proof, residential proof, etc.
- The requirement to provide INC-14 as an attachment has been eliminated by including it in the ‘Declaration by Professional.
The Incorporation Set includes two form IDs, which are: –

2. SPICe+ PART B
3. Agile PRO-S
4. E-MOA
5. E-AOA
6. INC-9
SPICe+ PART A is primarily used for the approval of the proposed company name. It includes the option of selecting three business activities using a 5-digit code based on the NIC 2008 classification. To ensure compliance with The Companies (Incorporation) Rules, 2014, various checks, business rules, and trademark validations are implemented at the Field Office level.
It is possible to apply for two company names in a single submission using SPICe+ PART A, and the applicable statutory fee for this process is Rs. 1000/-.
SPICe+ PART B
Services offered in Part B of SPICe+
i. Application for issuance of Registration of Company
ii. Apply for the license (only applicable for section 8 companies
iii. Application for allotment of Director Identification Number (DIN) / Registration of Director. (Three DIN can be allotted in one Incorporation form)
iv. Application for PAN / TAN allocation.
v. Application for allotment of GSTIN (optional, if applied)
vi. Application for allotment of ESIC number.
vii. Application for allotment of EPFO number
viii. Application for allotment of PTEC / PTRC (For Maharashtra, Karnataka, and West Bengal only).
ix. Application for registration of Shops and establishments – Delhi.
x. Request for Bank Account Opening.
Agile PRO-S
All the new companies incorporated through SPICe+ (with effect from 23rd February 2020) would also be mandatorily required to apply to open the company’s Bank account through the AGILE-PRO-S linked web form.
The applicant can apply for Shops and Establishment Registration/ GSTIN / Establishment code issued by EPFO/ Employer Code as issued by ESIC or all the services through the AGILE-PRO-S form.
E-MOA (INC-33) & E-AOA (INC-34)

INC-9 (Declaration by all Subscribers and first Directors)
INC-9 shall be auto-generated in pdf format and would have to be submitted only in electronic form in all cases, except where:
(i) Total number of subscribers and/or directors is greater than 20 and/or
(ii) Any such subscribers and/or directors have neither DIN nor PAN.
INC-9 shall get auto-generated (Total number of Directors + Subscribers) is less than / equal to 20 and all such subscribers and /or directors have DIN / PAN.

Steps for Incorporation of the Company is as follows: –
Step 1: Reservation of Company’s Name Under Spice Part A
The first and foremost step in the company registration process is reserving the name of the company.
The applicant can reserve the name of the company through Part-A of SPICE+ from. The applicants must provide two names in preferential order and must follow all the norms of the naming convention.
Upon filing the above stated form, the applicant must submit the form and proceed for the company’s incorporation. The applicant can either reserve the name for the company and pay Rs. 1000 fees separately or can proceed for SPICE+ Part-B.
Step 2: Fill Part-B of the SPICE+ form:
The next step in the incorporation procedure is to Access Service Request Number (SRN) dashboard by clicking on the Mini Dashboard tab to fill in the information in Part-B of the SPICe+ form as under:
a. Details of the company’s capital structure
b. Details of registered office address
c. Details of the first subscribers and directors
d. Details about jurisdiction for obtaining Permanent Account Number/Tax collection Account Number.
e. The application for incorporation of a company shall be supported with the following attachments:
Utility Bill of registered office (not older than 02 months)
Declaration by the first director(s) and subscriber(s)
Identity and Residential Proof of all the Subscribers (such as Permanent Account Number, Aadhar Card, Bank Statement, Voter ID, Driving License, Passport)
Identity and Residential Proof of Applicants (such as Permanent Account Number, Aadhar Card, Bank Statement, Voter ID, Driving License, Passport)
Rent Agreement duly notarized and NOC from the Owner of the property (in case of rented property)
After attaching all the required documents, the applicant must submit Part-B to proceed further with the incorporation of the company.
Step 3: Fill out other relevant forms:
The next step in the incorporation procedure is to submit the following forms:
1. Fill the details in the e-Form SPICE-MOA
2. Fill the details in the e-From SPICE-AOA
3. Fill the details in the e-Form Agile Pro-S, for obtaining Goods and Service Tax Number/ Employee’s Provident Fund Organisation/ Employee’s State Insurance Corporation/ Professional Tax registration and opening of Bank Account.
4. e-Form INC-9, a declaration by the subscriber/First Director of the proposed company regarding the correctness of the information provided in the SPICE+ form.
Step 4: Upload the documents for final submission:
The applicant shall convert the linked e-Forms i.e., Part-B of SPICE+ form, SPICE-MOA, SPICE-AOA, AGILE PRO-S, and INC-9 into PDF format and affix Digital Signatures on the forms and upload in the following sequence:
SPICE+ PART-B, SPICE-MOA, SPICE-AOA, AGILE PRO-S, INC-9
After payment of applicable incorporation fees, the incorporation procedure gets completed.
The incorporation certificate may be received within 3-4 days working days of successful submission subject to Registrar of Company approval.

Now because all directors and subscribers are signatory to INC -9 Declaration and EMOA /EAOA( For Subscribers Only ) ,So All such directors has to obtain DSC and as per Mca Faq all has to register on V3 Portal as business user..
So ,In this case assuming 3 Proposed first director and subscribers ( Total 7 ) has to individually register on V3 Portal but under which ROLE ? and any professional is handling task of incorporation then whether with the subscriber login Id All forms can be uploaded or it require uploading from professional login only ?
