Company Secretary is a professional course conducted by Institute of Company Secretaries of India after passing course one can became professional deals in Corporate law. One can opt either to do job or its own practice or move abroad. A company secretary is a senior position in all listed Company and all other company having paid up capital of 5 Crore or more. CS is in practice called Practicing Company Secretaries (PCS)

Role of Company Secretary (Whole time Employment)

Conducting Board meeting, AGM, EGM, Report to the Board of Director about compliance with the provisions of the Companies Act, and other laws applicable to the Company. Role of Practicing Company Secretary (Whole time Practice)

Corporate Law, Securities law, FEMA, Secretarial Audit, GST, Income Tax, IPR, Fund Raising, IPO, GDR, IDR, Corporate Restructuring, Foreign collaboration and Joint Venture, Arbitration and Conciliation, SARFAESI Act, Due Diligence, Competition Commission, Telecom Dispute Settlement and Appellate Tribunal, Consumer Forums, Depositories Act , Environment and Pollution Control Laws, Labour and Industrial Laws, Co-operative Societies Act, Bankruptcy and NCLT matter, Drafting / Vetting of contracts and agreements under various laws and many more.

Scope of (Whole time Employment) Company secretary (CS)

  • Work as a Company Secretary/ Compliance officer/Legal manager/Finance manager in a Private Company, Public Company, listed Company and MNC.
  • Work as a Company Secretary in Public Sector Undertaking like BHEL, ONCG, HAL, etc
  • Works in a Private Banks or Public Banks as Compliance officer.
  • Works in Stock Exchanges like NSE, BSE on various Roles.
  • Works in various Government undertakings like SEBI,IRDA,RBI,LIC,IRTC, IICA, SEBI MCA, ROC, office of Liquidator, Import Export houses, IRCON etc
  • Works in law firm, CS Firm, CA Firm, and Consultancy Firm.
  • Membership of the Institute is a recognised qualification for recruitment from Grade I to Grade IV in the Accounts branch of the Indian Company Law Service.

Scope Practice (Whole time Practice) Practicing Company Secretary (PCS)

  • Open CS FIRM as individual proprietor/partnership/ as Consultancy Company.
  • Works in law firm, CS Firm, CA Firm, and Consultancy Firm as COP holder.
  • After experience of 15 years PCS can become Member of NCLT and NCLAT.

Scope of CS in Foreign countries

In UK, USA, Srilanka, South Africa, China, Singapore, Hongkong, Australia, Netherlands, Canada Public and listed Companies appoint Company Secretary on very lucrative packages. In the UK, the company secretary may be qualified by virtue of examination and membership of the Institute of Chartered Secretaries and Administrators (ICSA), which is the main qualification specifically for company secretaries. In China, every listed company is required to have a board secretary. In South Africa, all public and state-owned company must appoint a company secretary. One can easily earn One Crore PA in above Countries.

Earning

In Job starting in Companies Rs.25000/- Per month in Firm 20000/- per month

PSU Bank, Government Company and PSUs starting 50000/- per month.

After Experience of 5 years one can earn in job 1 lac per month in Companies and Firm provided knowledge and exposure of Candidate. After 25 years or 30 years of experience one can earn Rs. 10 lac per month/ One Crore Annually provided knowledge and exposure of Candidate. Most of our respected senior Company Secretaries are earning more than One Crore Annually.

In Self Practice initially one can earn 15000/- per month but after experience of 5-10 years in practice one can earn Rs. 1 lac to Rs.5 lac per month depends on scale of work handling and knowledge in field. Most of Senior Practicing Company Secretaries of India earning more than One Crore per Annuam. In NCLT and Bankruptcy Matter one can get professional fees in Crores.

Registration can done through ICSI portal www.icsi.edu and its various chapter offline.

Eligibility and Stages to become Company secretary

The student who would like to join the Course after 10+2 pass or equivalent has to undergo three stages to pursue the Company Secretaries Course i.e. Foundation Programme, Executive Programme and Professional Programme.

The Student who would like to join the Course after passing the Graduation has to undergo two stages of the Company Secretaryship i.e. Executive Programme and Professional Programme.

Is this Tuff Course??

Yes, CS is considered the toughest course in the world. It is not so easy but not impossible.

    Hello Mam,
    I recently appeared for cs professional exam and i did not cleared the groups i had given . After june 2020 the syllabus got changed. please give me a solution what to do.. whether to appear for 1st and 3rd group or just 1 group. I m very tensed
